1. Acceptance of These Terms

These Terms & Conditions (“Terms”) govern your access to and use of the website, platform, and related services provided by Leadflow Automation, LLC. (“Leadflow Automation”, “we”, “us”, or “our”), including any content, functionality, and services offered on or through our website and any associated applications (collectively, the “Services”).

By creating an account, accessing, or using the Services in any way, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, you must not use the Services.


2. Eligibility and Accounts

By using the Services, you represent and warrant that:

  • You are at least 18 years of age (or the age of majority in your jurisdiction).
  • You have the legal authority to enter into these Terms on your own behalf or on behalf of the entity you represent.
  • All information you provide to Leadflow Automation is true, accurate, complete, and current.

You are responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.


3. Description of Services

Leadflow Automation provides a software-as-a-service (SaaS) platform that may include, among other features:

  • Customer relationship management (CRM) tools
  • Lead capture and funnel management
  • Appointment scheduling and calendar integrations
  • SMS, MMS, email, and chat messaging tools
  • Call management, call logging, and optional call recording
  • AI-assisted messaging, AI voice agents, and automation workflows
  • Review generation and reputation management tools
  • Website chat widgets and contact forms
  • Integrations with third-party services, including Google Business Profile and other listing platforms

The Services may be updated, enhanced, modified, or discontinued at any time in our sole discretion.


4. Customer Data & Content

In the course of using the Services, you may upload, store, or otherwise provide content, including but not limited to contact records, messages, files, images, call recordings, call transcripts, appointments, notes, and other data related to your business or your end users (“Customer Data”).

You retain ownership of your Customer Data. By submitting Customer Data to the Services, you grant Leadflow Automation a non-exclusive, worldwide, royalty-free license to host, store, process, transmit, display, and use such Customer Data solely as necessary to provide, maintain, protect, and improve the Services, and to comply with legal obligations.

You are solely responsible for:

  • Ensuring you have all necessary rights, consents, and permissions to submit Customer Data to the Services.
  • Ensuring Customer Data is accurate, lawful, and compliant with applicable privacy, data protection, and communications laws.
  • Any communications and content you or your users send through the Services.

5. License and Permitted Use

Subject to your compliance with these Terms and timely payment of applicable fees, Leadflow Automation grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your internal business purposes.

You agree not to:

  • Copy, modify, or create derivative works based on the Services.
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Services.
  • Rent, lease, sell, resell, or otherwise exploit the Services for any purpose not expressly permitted by these Terms.
  • Access or use the Services for the purpose of building a competing product or service.

6. User Responsibilities & Prohibited Conduct

You agree that you will not use the Services to:

  • Send spam, unsolicited bulk messages, or any content without proper consent from recipients.
  • Violate any applicable laws, including but not limited to the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and similar regulations.
  • Send harassing, abusive, defamatory, obscene, or otherwise objectionable content.
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity.
  • Upload or transmit any viruses, malware, or harmful code.
  • Interfere with or disrupt the integrity or performance of the Services.
  • Attempt to gain unauthorized access to the Services or related systems.

Violation of these responsibilities may result in suspension or termination of your account and may subject you to legal liability.


7. SMS, Email, and Phone Communications

The Services may allow you to send SMS, MMS, email, and initiate or receive phone calls through integrated telephony and messaging providers. By using these features, you agree that:

  • You will only send communications to recipients who have provided the required consent under applicable laws.
  • You will maintain records of consent where required and honor all opt-out or unsubscribe requests promptly.
  • You will comply with carrier guidelines, A2P 10DLC requirements, and applicable anti-spam and telemarketing regulations.

You are solely responsible for the content of your messages and the legality of your contact lists. Leadflow Automation is not responsible for your compliance with consent and messaging regulations and will not be liable for fines or penalties arising from your misuse of the Services.

Message and data rates may apply to SMS/MMS communications. Message frequency may vary based on your usage.


8. AI Features & Disclaimers

Certain features of the Services may use artificial intelligence (“AI”) to generate or assist with responses, scripts, call handling, summaries, recommendations, or other outputs. You acknowledge and agree that:

  • AI-generated content may not always be accurate, complete, or appropriate for every situation.
  • You are responsible for reviewing AI outputs where necessary and for supervising the use of AI in your business.
  • Leadflow Automation does not provide legal, medical, financial, or professional advice through AI features, and AI outputs should not be relied upon as such.

By enabling AI features, you consent to the processing of related data (such as messages, prompts, transcripts, and instructions) for the purpose of providing and improving AI functionality, as described in our Privacy Policy.


9. Call Recording & Voice Services

If you use call recording, voice AI, or voicemail transcription features, you are responsible for complying with all applicable laws regarding call recording and monitoring, including obtaining any required consent from call participants.

By enabling these features, you warrant that you have obtained all necessary authorizations and consents from your end-users, customers, and any individuals who may be recorded. Leadflow Automation is not responsible for your failure to comply with call recording laws.


10. Third-Party Services & Integrations

The Services may integrate with or link to third-party platforms and services, such as payment processors (e.g., Stripe), SMS and telephony providers, AI providers, Google Business Profile, social media platforms, and other tools.

Your use of third-party services is subject to their respective terms and privacy policies. Leadflow Automation does not control and is not responsible for third-party services, and your interactions with such services are solely between you and the third party.


11. Subscription Plans, Billing & Payments

Access to the Services may be offered on a subscription basis with recurring fees. By subscribing, you authorize Leadflow Automation (or its payment processors) to charge your selected payment method on a recurring basis for the applicable subscription fees, taxes, and any additional usage-based charges.

11.1 Billing

Unless otherwise stated, subscription fees are billed in advance and are non-refundable. You are responsible for providing accurate and complete billing information and for updating your payment method as needed.

11.2 Automatic Renewal

Subscriptions will automatically renew at the end of each billing period unless you cancel your subscription before the renewal date. By continuing to use the Services, you agree to the renewal charges.

11.3 Cancellation

You may cancel your subscription at any time in accordance with the instructions provided within the Services or by contacting our support team. Cancellation will take effect at the end of the current billing period, and you will not be charged further subscription fees. You will not receive a refund for the current billing period unless required by applicable law or explicitly agreed to by Leadflow Automation.

11.4 Taxes

You are responsible for all applicable taxes, duties, and government charges associated with your subscription and use of the Services.


12. Free Trials and Promotions

Leadflow Automation may, from time to time, offer free trials or promotional pricing for the Services. The terms of any such trial or promotion will be specified at the time of the offer. At the end of a free trial, unless you cancel, your subscription may automatically convert to a paid subscription and your payment method may be charged in accordance with the applicable plan.


13. Intellectual Property

The Services, including all software, technology, user interfaces, designs, logos, trademarks, and other content (excluding your Customer Data), are owned by or licensed to Leadflow Automation and are protected by intellectual property laws.

Except for the limited license granted to you in these Terms, no rights, title, or interest are transferred to you. You agree not to remove, alter, or obscure any copyright, trademark, or other proprietary notices on or within the Services.


14. Confidentiality

Each party agrees to treat as confidential any non-public information received from the other party that is designated as confidential or that reasonably should be understood to be confidential based on the nature of the information and the circumstances of disclosure. Confidential information does not include information that is or becomes publicly known, is independently developed, or is rightfully received from a third party without confidentiality obligations.


15. Data Privacy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using the Services, you consent to the collection and use of your information as described in the Privacy Policy.


16. Disclaimers

The Services are provided on an “AS IS” and “AS AVAILABLE” basis. To the fullest extent permitted by law, Leadflow Automation disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

Leadflow Automation does not warrant that the Services will be uninterrupted, secure, or error-free, or that any defects will be corrected. You use the Services at your own risk.


17. Limitation of Liability

To the fullest extent permitted by law, in no event shall Leadflow Automation be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or loss of data, use, goodwill, or other intangible losses arising out of or in connection with your use of the Services.

To the extent permitted by law, Leadflow Automation’s total aggregate liability for any claims arising out of or relating to the Services or these Terms shall not exceed the total amount paid by you to Leadflow Automation for the Services during the three (3) months immediately preceding the event giving rise to such liability.


18. Indemnification

You agree to indemnify, defend, and hold harmless Leadflow Automation, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with:

  • Your access to or use of the Services;
  • Your Customer Data or the content of communications sent through the Services;
  • Your violation of these Terms or any applicable law;
  • Your infringement or misappropriation of any third party rights.

19. Suspension and Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe that you have violated these Terms, are using the Services in a manner that may cause harm or legal liability, or if required by law or a governmental authority.

Upon termination, your right to use the Services will immediately cease. Sections that by their nature should survive termination (including but not limited to Customer Data licenses to the extent necessary, payment obligations, disclaimers, limitation of liability, and indemnification) will continue in effect.


20. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the state in which Leadflow Automation is organized, without regard to its conflict of law principles.

Any disputes arising out of or relating to these Terms or the Services shall be resolved in the state or federal courts located in such state, and you consent to the exclusive jurisdiction and venue of such courts.


21. Changes to These Terms

We may revise these Terms from time to time. If we make material changes, we will notify you by email and/or by posting an updated version on our website, and updating the “Last Updated” date at the top of this page.

Your continued use of the Services after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Services.
